Please read these Terms carefully. They include a disclaimer of warranties, a limitation of liability and a waiver of certain claims. By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who we are and what these Terms cover

These Terms of Use (“Terms”) are an agreement between you and Learndini, including its owners, operators, officers, contributors and affiliates (together, “Learndini”, “we”, “us” or “our”). They govern your use of learndini.com, medtech.learndini.com and any other website, app, course, content or feature we provide (the “Services”). Our Privacy Policy forms part of these Terms.

2. Eligibility and accounts

3. Educational purposes only — no guarantees

4. No affiliation

Learndini is independent. It is not affiliated with, endorsed by, sponsored by or approved by the American Society for Clinical Pathology (ASCP), the Professional Regulation Commission (PRC), the Department of Health – Abu Dhabi (formerly HAAD), American Medical Technologists (AMT), any publisher or textbook author, or any other examining body, school or organization. All names and trademarks belong to their respective owners and are used only to describe the exams the Services may help you prepare for.

5. Acceptable use

You agree not to:

We may investigate violations and may suspend, restrict, reset or terminate any account, score, ranking or content at any time, with or without notice.

6. Intellectual property

The Services and all content, questions, explanations, lessons, software, text, graphics, logos, mascots, names and designs are owned by or licensed to Learndini and are protected by intellectual property laws. We grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Services for your own non-commercial study, in accordance with these Terms. All other rights are reserved.

7. Your submissions

If you send us feedback, reports, suggestions or other content, you grant Learndini a worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, publish and otherwise exploit it for any purpose, without compensation or attribution to you. You confirm you have the right to grant this license.

8. Paid features, subscriptions and ads

9. Third-party services

The Services rely on and may link to third-party services (such as Google sign-in, Firebase, Cloudflare, payment processors and ad networks). Your use of them is governed by their own terms, and we are not responsible for their availability, content, security or practices.

10. Availability and changes

We may modify, suspend or discontinue all or part of the Services, including any content, course, feature or data, at any time without notice or liability. We do not guarantee that the Services will be available, uninterrupted, timely, secure or error-free, or that progress or data will never be lost. Keep your own notes of anything important to you.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR RESULT IN PASSING ANY EXAMINATION. YOU USE THE SERVICES ENTIRELY AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LEARNDINI OR ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, CONTRIBUTORS, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, PROGRESS, GOODWILL, OPPORTUNITY, EXAMINATION RESULTS, LICENSURE OR EMPLOYMENT, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED PHILIPPINE PESOS (₱100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In those cases our liability is limited to the smallest extent permitted by law.

13. Indemnity

You agree to defend, indemnify and hold harmless Learndini and its owners, operators, officers, contributors, agents and service providers from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Services, your content, your violation of these Terms or your violation of any law or the rights of any third party.

14. Release

To the maximum extent permitted by law, you release Learndini and its owners, operators and contributors from all claims, demands and damages of every kind, known and unknown, arising out of or connected with your use of the Services, interactions with other users, or any content, including any error or omission in content and any examination outcome.

15. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time, for any reason, with or without notice. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, release and governing law) will survive.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Before filing any claim, you agree to first contact us at learndini@gmail.com and try in good faith to resolve the dispute informally for at least thirty (30) days. Any claim that is not resolved will be brought exclusively in the proper courts of the Philippines, and you consent to their jurisdiction. To the extent permitted by law, any claim must be brought within one (1) year after it arises, and claims may only be brought on an individual basis, not as part of any class or representative action.
